A coalition of 12 US states has reached a settlement resolving its antitrust challenge to Paramount’s proposed acquisition of Warner Bros. Discovery.
The agreement would impose a series of commitments on the combined company, including maintaining film output, US production spending, support for independent film and industry workers, separate negotiations for basic-cable networks, free streaming options and compliance monitoring.
The settlement is structured through a proposed consent decree and still requires court approval.
It is separate from a settlement Paramount also reached with the Writers Guild of America, which resolves the union’s challenge to the transaction. Do not merge the two settlements into one legal action.
Paramount’s 21 September materials continued to describe the Warner Bros. Discovery acquisition as proposed.
As of 22 September, no closing announcement had been verified. The acquisition should therefore still be described as proposed unless and until primary-source evidence confirms otherwise.
